The Role: Lateral Associate - Corporate - Life Sciences | San Francisco, CA

We are seeking a highly qualified mid-level or senior associate (law school class years 2017 to 2021) to join an entrepreneurial, collaborative, and dynamic Life Sciences transactional group in San Francisco, CA. This team specializes in representing public and private life sciences companies and dedicated healthcare investment funds.

Practice Expertise and Focus

This opportunity is with a prestigious firm recognized globally for its innovation and excellence in life sciences transactions. The Life Sciences transactional group focuses on:

• Public Capital Markets Offerings: Including IPOs, follow-on offerings, and ATM facilities.
• Private Offerings: Handling PIPEs, venture capital financings, and other private placements.
• 1934 Act Reporting: Expertise in Forms 10-K, 10-Q, and 8-K filings.
• Mergers & Acquisitions: Structuring public and private company M&A, earnout-based transactions, product acquisitions, and spin-out transactions.
• Investment Funds Representation: Working closely with dedicated healthcare investment funds on strategic transactions.

This role offers the opportunity to work on cutting-edge deals and collaborate with industry leaders in the life sciences and healthcare sectors.

In this position, you will:

• Represent life sciences companies in public and private capital markets transactions.
• Provide counsel on complex 1934 Act reporting and compliance matters.
• Structure and negotiate M&A transactions, including earnout-based transactions and spin-outs.
• Collaborate with cross-functional teams to deliver innovative legal solutions for life sciences companies and investment funds.
• Engage with clients to understand their business objectives and provide strategic guidance tailored to their needs.

Ideal Candidate Profile

We are looking for candidates who bring the following qualifications and attributes:

Experience and Expertise

• Experience: Law school graduate from 2017 to 2021 , with significant experience in corporate transactions for life sciences companies or investment funds.
• Corporate Expertise: Proficiency in public capital markets, private offerings, SEC reporting, and M&A transactions specific to the life sciences sector.

Educational Credentials

• Juris Doctor (JD): Degree from a top-tier, accredited law school with excellent academic credentials.
• Bar Admission: Active California Bar membership or eligibility to obtain admission promptly.

• Legal Acumen: Expertise in drafting and negotiating transactional documents and providing regulatory counsel.
• Strategic Thinking: Ability to develop innovative strategies for complex life sciences transactions.
